Corporate Officers

William P. "Bill" Utt was named President and Chief Executive Officer of KBR, effective March 15, 2006. He was named Chairman in April 2007. KBR is a global engineering, construction and services company supporting the energy, hydrocarbon, government services, minerals, civil infrastructure, power and industrial markets.

Previously, Mr. Utt was President and CEO of SUEZ Energy North America with responsibility for the LNG, retail energy, energy marketing and trading, power generation and development businesses. From 1995-2000, he was president and CEO of Tractebel's North American energy businesses. From 1984 to 1995, he held senior management and executive positions with CRSS, Inc.

Mr. Utt holds bachelor's and master's degrees in mechanical engineering from the University of Virginia and has a master's degree in business administration from The Colgate Darden Graduate School of Business Administration at the University of Virginia.

Mr. Utt serves on the National Petroleum Council, which provides advice and analysis to the U.S. Secretary of Energy. He has been chairman of the Electric Power Supply Association, as well as holding other leadership positions with that organization. He has co-authored numerous industry-related publications and has been a panelist at various academic and industry conferences and symposiums on energy-related issues. Mr. Utt is currently a trustee for the School of Engineering and Applied Science at the University of Virginia.

Sue Carter is Senior Vice President and Chief Financial Officer for KBR, Inc. Ms. Carter joined KBR in late October 2009. Prior to joining KBR, she held the position of Executive Vice President and Chief Financial Officer at Lennox International, Inc located in Richardson, Texas. Before joining Lennox, Carter served as Vice President, Finance and Chief Accounting Officer at Cummins, Inc., based in Columbus, Indiana. Ms. Carter also spent time at Honeywell where she was involved in the financial management of several businesses including operations with defense content.

Ms. Carter holds an M.B.A. from Northern Illinois University and a B.S. in Accounting from Indiana University. She is a CPA and a former member of the Board of Directors for Lyondell Chemical Company.

Andrew D. Farley is Senior Vice President and General Counsel. Mr. Farley was appointed to his position in June 2006. His appointment follows 14 years in the Legal Department of KBR, having served as Vice President – Legal of KBR's former Energy and Chemicals segment beginning in May 2003, as Chief Counsel – International of Halliburton's Energy Services Group from June 2002 to May 2003 and as Assistant General Counsel and Assistant Corporate Secretary of Halliburton from April 2002 to June 2002. From October 2000 to April 2002, he served as Chief Counsel for Landmark Graphics Corporation. Prior to joining KBR, Mr. Farley was an associate at the Houston law firm of Hutcheson & Grundy.

Mr. Farley holds a Doctor of Jurisprudence from George Washington University National Law Center and a Bachelor of Arts from Washington and Lee University. He is a member of the bar in both Texas and Washington, D.C. Mr. Farley serves on the board of the Texas General Counsel Forum.

Klaudia J. Brace is Senior Vice President, Administration. Ms. Brace joined KBR in April of 2006. She has overall leadership responsibilities for KBR's Human Resources, Communications, Real Estate Services, Information Process Solutions (IPS / IT), and Quality and Health, Safety and Environment functions.

Ms. Brace brings more than 25 years of executive experience to KBR in the areas of administration, financial reporting and human resources. She was Vice President of Finance and Operations for Churchill Livingston and the Vice President of Finance and Administration for Synergetics International. In addition, Ms. Brace was the Controller for CMS Data, a division of PC DOCS Group International. She most recently served as Senior Vice President, Business Control and Human Resources, for SUEZ Energy North America.

Ms. Brace holds a bachelor's degree and a Master of Business Administration degree from Michigan State University. Additionally, she is a Senior Professional in Human Resources with the Society for Human Resource Managers.

William C. Bodie joined KBR in 2005 and serves as President of KBR's North American Government and Defense business. Mr. Bodie is responsible for KBR's activities on behalf of U.S. and other North American government and defense customers. Prior to his recent appointment, he served as interim president of KBR's Government and Infrastructure (G&I) business unit, overseeing all aspects of the organization's global government services and infrastructure operations. Serving major military, civil, and private sector customers, the business unit is headquartered in Arlington, Virginia, with ventures in Europe, Africa, the Middle East and the Asia Pacific region.. Bodie has also previously served as KBR's Senior Vice President, Customer Relations and Strategy where he oversaw liaison activities with G&I's global customers and was responsible for the unit's business development, marketing and strategy functions. Before being named to this position, Mr. Bodie led G&I's Communications and Government Relations activities.

Mr. Bodie's work history includes leadership positions in both the public and private sectors, holding executive responsibilities in the United States Department of Defense, Fortune 100 corporations, and industry-leading management and communications consulting firms. Before joining KBR, Mr. Bodie was vice president of Defense Programs at DFI International, a major analytical services firm supporting the Office of the Secretary of Defense and the US military. As the first director of communications for the US Air Force, a position he held from 2001-2004, Mr. Bodie reported directly to the Secretary and Chief of Staff of the Air Force and was a senior advisor on policy and communications to Air Force leadership. Earlier, he served in the corporate world as director of communications for the Northrop Grumman Corporation, heading marketing and policy communications efforts for the corporation’s electronics sector, as well as executive communications director for Northrop Grumman's chief executive officer in Los Angeles, California. Mr. Bodie also was senior vice president at Robinson Lerer & Montgomery, a first-tier corporate communications consultancy, where he worked on financial and litigation communications for large clients, including Texaco and Pfizer. In addition, he was a senior fellow at the National Defense University, the nation's highest professional military education institution, where he authored numerous published articles and essays on national security affairs and emerging markets.

Mr. Bodie has been published in the Wall Street Journal, Strategic Review, the Detroit News, Problems of Communism, and other periodicals and monographs. He earned a master's degree in politics from New York University and a bachelor’s degree in history from Columbia University.

Colin Elliott is President of KBR’s Infrastructure and Minerals (I&M) business unit. Mr. Elliott is responsible for the performance of a global group of some 2000 employees.

Created in late 2009 to strengthen KBR’s position in the infrastructure and minerals sectors, the I&M business unit provides global focus and leadership in four key markets—Water, Transport, Facilities and Minerals—and is strongly directed towards meeting the needs of local communities.

Mr. Elliott joined KBR in 1988, and most recently served as Vice President of KBR’s Government and Infrastructure business unit in the Asia Pacific region. The business unit provided a broad range of engineering and related services to Australian public and private sector clients as well as aid-funded assistance in the developing countries of South-East Asia, and defence contracting to the Commonwealth Government.

Mr. Elliott has 30 years’ broad experience in engineering and management in the infrastructure and resources sectors, 20 of these in senior managerial, operational and marketing roles within KBR.

John L. Rose is Group President, Hydrocarbons. In his current role, Mr. Rose is responsible for KBR's four hydrocarbon business units including Downstream, Gas Monetization, Oil & Gas, and Technology. Mr. Rose has held various positions within KBR for the past 35 years, most recently serving as President, Upstream, directing KBR's upstream market covering onshore and offshore oil and gas projects, LNG and GTL. Prior to serving as President, Upstream, Mr. Rose was Executive Vice President of KBR's former Energy and Chemicals business segment. He has also held positions as the Executive Director in a major joint venture between KBR and Mitsubishi from October 2000 - April 2004 and as Vice President, Subsidiary Operations and Production Services from April 2004 - September 2005.

During his 35 years at KBR, Mr. Rose has worked on projects and operations involving the oil, gas, chemicals and minerals industry worldwide, including Saudi Arabia, Indonesia, Australia, Japan, China, Mexico, Venezuela and Canada. In addition to his operations management role, Mr. Rose has also been the KBR sponsor of a number of major $1 billion-plus projects in the past 15 years.

Mr. Rose holds a degree in Mechanical Engineering from California Polytechnical University. He is a Registered Mechanical Engineer in California and Texas, and has been an active member of the American Society of Mechanical Engineers Industrial Advisory Board, Construction Industry Institute, and American Institute of Chemical Engineering.

David Zimmerman is President, Services. Mr. Zimmerman was appointed to his position in September 2007. He is responsible for KBR's Services business unit which includes the following product service lines: Industrial Services, North America Construction, Canada Operations, BE&K Construction, BE&K Building Group, and International O&M Operations.

Prior to his current role, Mr. Zimmerman was KBR's Senior Vice President Engineering, Procurement, Construction and Services from 2006 to 2007, Vice President of Worldwide Construction from 2002 to 2006 and Vice President of Oil and Gas from 1999 to 2002. He also served as the Managing Director and General Manager of KBR's Asia Pacific Operations from 1994 to 1999.

Mr. Zimmerman has 33 years of experience in the engineering and construction business with KBR. During this time he has been involved in projects pertaining to offshore/onshore oil and gas, LNG & GTL, petrochemicals, refining, power and manufacturing. His expertise in these market sectors can be attributed to his operational leadership on projects around the world. Mr. Zimmerman has managed Engineering, Procurement and Construction (EPC) operations in the US, Africa, the Asian Pacific, the Middle East, and Central and South America.

Mr. Zimmerman holds a Bachelor of Science in Electrical Engineering from the University of Texas at Austin and is a Registered Professional Engineer in Texas and Louisiana.

Timothy B. Challand is President, Technology. Mr. Challand was appointed to his current position in August 2007.

Mr. Challand has nearly 40 years of experience in a number of roles associated with the refining, gas processing and petrochemical industries. He is currently responsible for overseeing the company's portfolio of intellectual property assets. He is also charged with profitably growing this sector of KBR's business through the acquisition and/or development of new technologies and applications across the entire hydrocarbon value chain.

During Mr. Challand's 20 years at KBR, his responsibilities have included process management, process technology acquisition and licensing, product development and commercialization, and new business start-up.

Mr. Challand holds an Honors Bachelor of Science degree in Chemical Engineering and is a Licensed Professional Engineer in Texas, California, Quebec, Canada and the U.K. He is also a member of the American Institute of Chemical Engineers.

John Quinn is President, Downstream. Mr. Quinn was promoted to his position in September 2007.

Mr. Quinn has more than 35 years of experience in the onshore petroleum refining and petrochemical industries. He began his career with Badger Engineers and Constructors and joined KBR as a Project Director in 1994. He also served as KBR's Vice President, Engineering, Procurement and Construction and was responsible for services associated with the Onshore Business Segment. Since 2004, Mr. Quinn has served as Chief Executive Officer for M. W. Kellogg Ltd., KBR's 55 percent owned subsidiary in Greenford, United Kingdom.

As President, Downstream, Mr. Quinn oversees the strategic direction, business development, project execution responsibilities and financial performance for KBR's projects in the refining, petrochemical, syngas and coal monetization markets. KBR Downstream works closely with KBR Technology to utilize complimentary strengths and resources in technology and FEED / EPC / EPCM work.

Mr. Quinn holds a Bachelor of Science degree in Chemical Engineering from Manhattan College and an MBA from Pace University. In addition, Mr. Quinn is an instructor for the KBR Leadership Program. He is a charter member of the University of Houston's Engineering Leadership Board and a member of the Texas State Board of Directors for the March of Dimes.

Dennis Calton is Executive Vice President, Operations. Mr. Calton was appointed to his position in February 2008. He is responsible for oversight and the establishment of KBR work processes and procedures for project management, project controls, engineering, procurement, construction, and commissioning. In addition, he is responsible for the efficient management and deployment of KBR's project assignable, technical employees.

Prior to his current role, Mr. Calton was Senior Vice President of Project Management Oversight and Control. During his tenure with the company he also held executive positions as Vice President of Onshore Project Operations, Vice President of Construction/Maintenance Operations, Vice President of Business Segment Management, Vice President of Engineering Procurement and Construction Operations, and Vice President / Project Director for the design and construction of a large Ethylene complex in the Middle East.

Five of Mr. Calton's 33 years at KBR included resident assignments, working outside the US in the Asia Pacific and Middle East regions.

Mr. Calton holds a Bachelor of Science degree in Mechanical Engineering from the University of Missouri - Rolla and attended the Executive Program at Stanford University. He is a member of the American Society of Mechanical Engineers and a Registered Professional Engineer in the state of Texas.

Tom Mumford is Senior Vice President, Commercial. Mr. Mumford was appointed to this position in December, 2008, to lead the Company's corporate Commercial Department. Prior to his current role, Mr. Mumford was Senior Vice President, Business Development Oversight. He is responsible for the Company's business development oversight, corporate development and strategic planning functions. He is also responsible for the Company's Ventures Business Unit, KBR's asset development and investment arm.

Previously, Mr. Mumford served as Senior Vice President, Business Development for SUEZ Energy North America, where he was responsible for wholesale power acquisition, divestiture and development efforts, LNG program efforts, investment management and portfolio rationalization. His career has included senior positions in the marine, nuclear power, oil and gas and conventional power industries, covering projects in the Middle East, the Far East, Central and South America and domestic markets.

Mr. Mumford graduated from Stow College of Engineering and completed his studies at Glasgow College of Technology to become registered as a Chartered Engineer. Mr. Mumford maintains membership of the Institution of Mechanical Engineers and the Institute of Marine Engineers in the United Kingdom, and the American Society of Mechanical Engineers.
